The interim period of the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 (Act) related to the holding of virtual meetings, including AGMs, was further extended to 31 December 2024 following Government approval.
The Act makes temporary amendments to the Companies Act 2014 and the Industrial and Provident Societies Act, 1893 to address issues arising as a result of COVID-19.
The Order provided that the period beginning on 1 January 2024 and ending on 31 December 2024 is the period to which the interim period as defined in section 2 (amended by section 3 of the Act of 2020) of the Companies Act 2014 shall be extended in respect of the amendments effected by the following sections of the Act of 2020:
(a) sections 3 and 4;
(b) sections 6 to 9;
(c) section 11;
(d) sections 15 to 16;
(e) sections 18 to 25.
Announcing the extension, the Minister for Trade Promotion, Digital and Company Regulation, Dara Calleary TD, said that his Department will be bringing forth permanent legislative provisions in relation to virtual and hybrid meetings.
The increased debt thresholds (under section 570 Companies Act 2014: circumstances in which company is deemed to be unable to pay its debts) were not extended and lapsed on 31 December 2023.
