Lynton Boardman, Group General Counsel/Company Secretary, TT electronics plc

Lynton qualified, and subsequently practised, as a solicitor with Simmons & Simmons (in London and Abu Dhabi), where he was a corporate finance lawyer. He has also worked in private practice with Macfarlanes (London), Burges Salmon LLP (Bristol) and Arnold Block Liebler (Melbourne, Australia).

Lynton was Group General Counsel and Company Secretary of the FTSE 250 listed company QinetiQ Group plc between 2002 and 2011 (which included its IPO in 2006); he was also formerly Head of Legal (Crop Protection EMEA) at Syngenta AG. He has been Group General Counsel and Company Secretary at TT Electronics plc for over 11 years. In addition to company secretarial matters, his areas of specialisation include M&A, Intellectual Property and Regulatory matters.

Zoe Bucknell, Co-Founder, Kuberno

I often refer to myself as a governance geek by which I mean that I am fascinated by how good governance operates; the interlinking of systems, processes, people and culture that all have to work seamlessly so that businesses can operate in a safe yet agile way in the interests of all stakeholders. I believe that we need to rethink the approach to governance using the tools and techniques being applied to transform businesses, such as design thinking, process optimisation and automation and above all putting the “user” at the heart of everything. Governance can be the key to unlocking truly agile businesses and helping Secretariats to transform their teams and delivery to stakeholders is my passion. One of my favourite quotes is “ Creativity is Intelligence having fun.” Injecting some fun along the way is so important for team development and learning .. and amazing things can happen when we tap into our creativity.

Kyle Burke, Legal Analyst, Tata Consultancy Services

Kyle Burke is an employee of Tata Consultancy Services. His current role is working as a Legal Analyst for the Subsidiary Governance Team of a large US based multi-national corporation. He began working as a member of the team in March 2021. His current role focuses primarily on managing the client's US based subsidiaries. However, through his work managing the company's entity management system he also manages the corporation's non-US based subsidiaries information on that system ensuring that data is accurate and timely.

Chris Butler OBE, Head of Operations, Mercator by Citco

Chris has been acting as a member of the Mercator Management Team since 2013, primarily responsible for managing Mercator’s client service operations. Prior to joining Citco, Chris worked for PwC, relocating from London to Vilnius in 1997. Between 2003 and 2012, he was the Managing Partner of PwC in Lithuania, accumulating a wealth of experience serving an international network of clients.

Chris has a Master’s degree from Oxford University, and as a Chartered Accountant, is an associate of the Institute of Chartered Accountants in England and Wales. Besides his successful career with PwC, Chris helped set up the British Chamber of Commerce in Lithuania, and also served as its Chairman of the Board. He was awarded the OBE for his contribution to British commercial interests in Lithuania.

Valentine Chatelier, Deputy Company Secretary, Stolt-Nielsen

Valentine Chatelier is Deputy Company Secretary at Stolt-Nielsen group, a mid-cap multinational conglomerate providing transportation, storage and distribution services for bulk liquids, and a leader in sustainable land-based aquaculture. She joined Stolt-Nielsen in August 2021 to form the group’s first governance team and lead a comprehensive review of its governance structure.

Some of the key steps she took in shaping the organisation’s governance framework include transitioning to a centralised legal entity management model, and drafting and embedding new policies and procedures – both at the subsidiary and parent company levels. She has nine years’ experience managing complex corporate structures and corporate governance frameworks within multinational groups, spanning three stock exchanges (LSE, NYSE and OSE), family-led businesses and financial services. Valentine is an associate of the Chartered Governance Institute, and holds an LL.M in maritime and commercial law from the University of Southampton as well as a master’s degree in social and political sciences from the Institute of Political Studies (Sciences Po), Bordeaux, France.

Chelsea is a qualified Chartered Secretary with over 5 years’ professional services experience providing governance and entity management services. She is passionate about building relationships and delivering a high level of service through building strong relationships with clients and colleagues. Making change happen by always looking to improve processes and procedures, implementing technology to achieve this where possible.

Evon Chung ACG, Associate Director, Global Entity Management, Law Debenture

Evon is an Associate Director within the Global Entity Management service in Law Debenture. She is a qualified Chartered Governance professional with over 10 years’ experience specialising in global subsidiary governance, project & relationship management.

Prior to starting her corporate governance career, Evon has worked in the financial services with a career covering secured lending, compliance, internal audit, regulated complaint handling and consumer credit regulation.

Evon has substantial experience in advising on international corporate governance requirements for small and large multinationals and in project managing post-M&A integration formalities, working with GCs, law firms and tax advisors. She is passionate about building relationships and delivering excellent service through providing pragmatic and practical advice, tailored to the setup of each client.  Always looking to make change happen by looking at processes and delivering every project better than the last one.  Keen to develop up and coming governance professionals, Evon oversees the technical training of the entity management service and outside of work, you will find her tutoring company secretaries who are sitting the CSQS Development of Strategy exam.

Catherine Davey, Head of Subsidiary Governance, BP p.l.c.

Catherine is the Head of subsidiary governance at BP p.l.c. with oversight of more than 2000 legal entities globally.

Having started her career as a corporate lawyer in M&A, Catherine spent many years at PwC, first as a corporate structuring specialist then in the Entity Governance & Compliance team supporting the growing need for robust corporate governance structures within the financial services industry.
Catherine has a keen interest in the modernisation of the practice of legal and company secretarial work, and using process improvement practices, underpinned by technology to support the elevation of the role of the practitioner to a trusted advisor. She was involved in the establishment of the New Law team within PwC before and spent 18 months as a senior legal project manager at Baker Mackenzie.

Since March 2020, Catherine has applied her breadth of technical and operational experience and deep understanding and interest in legal entity structures and corporate governance within multinational groups to her day to day work at bp.

Jazz Dhoofer, Director, Computershare Governance Services

Jazz Dhoofer specialises in digital consulting. He is responsible for helping clients make better use of technology to support entity governance and compliance activities within their organisations. His expertise includes implementing entity management systems, automating governance and compliance processes, enhancing data analytics, reporting and visualisation. With over 23 years’ experience, Jazz previously worked for PwC’s global entity governance and compliance practice and brings a wealth of experience leading global entity management projects, including global managed service arrangements and entity health checks.

Valentina Dotto, Policy Advisor, CGIUKI

Valentina Dotto, Policy Advisor, CGIUKI

Valentina Dotto is a Policy Advisor at the Chartered Governance Institute UK and Ireland, specializing in effective corporate governance. In 2022, she received the  'heavy lifters' award from DIACC for her contributions to the development of the Pan Canadian Trust Framework. She is a member of the World Council on Environmental Law (WCEL) and the Global Network of Human Rights and Environment (GNHRE).

She holds a bachelor's degree in International Development from Università Degli Studi di Torino, during which she completed placements at the Campus of the United Nations. During this time, she also earned a Diploma in International Contracts, Agreements, and Conventions from the International Labour Organisation ILO-United Nations System Staff College International Training Centre.

During her MSc. in Asian Studies at Lund University in 2015, she conducted a year-long research placement at the Lee Kuan Yew School of Public Policy (National University of Singapore) and the National University of Malaysia. There, her research focused on the environmental impacts of the ASEAN-China Free Trade Agreement.

Currently, she is on course to complete a  PhD in constitutional and comparative law, where her research revolves around the use of law as a tool for social change.

Teresa Hogan ACG, Group Director, Head of LSEG Subsidiary Management and Co Sec Operations, London Stock Exchange Group

Teresa Hogan ACG. Teresa is a Chartered Company Secretary with over 15 years of experience in the profession. She is currently Head of Subsidiary Management for London Stock Exchange Group (LSEG) with responsibility for LSEG's 300+ subsidiaries including regulated entities in Asia, EMEA and US. Teresa is a member of the Senior leadership team with LSEG Company Secretariat taking the lead on Business Controls, Budget and Investment Planning, Entity Rationalisation and Technology Implementation projects.

Teresa joined LSEG in 2015 as part of the Listed team working on the Annual Report, AGM and the implementation of MAR for LSEG Company Secretariat. Prior to joining LSEG, Teresa spent nine years at WPP plc working on a range of Legal, Company Secretariat and Privacy matters.

Teresa is passionate about technology as enabler for the Governance profession and is excited about how this can be used to shape the future generations of Governance professionals.

Adam oversees the Computershare global subsidiary management service engagement team in the UK. He previously directed the global delivery team on a day-to-day basis at EY and has worked on many high-profile multi-national projects.

Dan is Computershare’s Senior Product Manager for GEMS™, Computershare’s global entity management platform. He has a diverse background in client focussed software development and horizon scanning future technological advancements in multiple industries over the past decade.

Glen Martin CG, Governance Business Partner, Red Bee Media

Glen is part of Red Bee Media’s Governance, Risk and Compliance team with specific responsibility for global legal entity management. Glen led the standardisation of legal entity management for Red Bee Media which, as a subsidiary, complies to the owner’s business practice and in a manner that is appropriate to the size and scope of the business.

He also oversees risk management in five market areas and is part of the compliance programme roll-out across the group. This team is responsible for ESG across the Red Bee Media organization, including sustainability and environmental programmes

Glen originally comes from a broadcast technology background, working in different roles for over 15 years prior to his move into governance five years ago. These included television network director positions through to the account management of a number of high profile broadcasters such as Disney, BT Sport, BBC and NBCU, working on major global television events such as the UEFA Champions League Final.

Glen is also a board director for the patient and health charity Healthwatch Bucks.

Laura McGowan, Company Secretary, Head of Company Secretarial, Insurance, Wealth & Retirement, Aviva plc

Laura joined Aviva in 2020 and leads the UK IWR Company Secretary team. Laura has over 15 years’ experience in boardrooms as a Governance Professional. Prior to joining Aviva, Laura held a number of Company Secretary positions across a wide range of Financial Service organisations and has gained a wealth of governance experience in asset management, private debt, and the Lloyds insurance market. Laura has two teenage boys, and when she is not driving them to various sporting events, she enjoys running in her spare time.

Iain Ostrowski-Rogers, Consultant, Scrivener Notary, De Pinna Notaries

Iain Ostrowski-Rogers is an internationally recognised specialist for his notarial work in relation to the countries of Central and Eastern Europe. He qualified as a Scrivener Notary in 2000 and has been consulting with De Pinna since 2019. Iain completed his M.A. in Modern and Medieval Languages at Clare College, Cambridge University. He is on the court of the Scriveners Company and acts as the Company’s Examinations Officer. In addition, Iain is an academic consultant to the Notarial Practice Course at University College London, the course director of the Notarial Professional Course run by the Faculty of Notaries Public in Ireland and provides tuition in notarial practice and acts as an examiner in Hong Kong, Guernsey and Jersey. Iain has committed his career to raising standards within the notarial profession in England and Wales and other jurisdictions with similar systems and leading by example as a dedicated Scrivener Notary.

Claire has considerable experience in all aspects of planning and environmental matters relating to a wide range of sectors.
