Corporate governance continues to be an area of focus for the Central Bank of Ireland. They have outlined plans to introduce a new Individual Accountability Framework, which includes a Senior Executive Accountability Regime similar to the UK Senior Managers Regime. Sean Smith and Melissa Scully will share insights into some of the practical steps organisations can take now to prepare for the regime.

Is good charity governance something that is static or a framework that requires evolution in response to a range of internal and external stimuli? The use of governance codes in other sectors and countries have had mixed results with some organisations being good at implementing the letter of the code but not necessarily the spirit. Those things that get monitored get done and as such governance can be seen as a ‘tick-box’ exercise. Media stories of charity governance lapses also highlight the  importance of behaviour, values and culture in the way an organisation run, which are not always easily articulated in a governance code. This interactive panel discussion will look at the implementation of the Charities Governance Code in Ireland and provide contrasting experiences from other jurisdictions.

The company secretary holds an integral an increasingly important role in assisting the board of fund and management companies with investment fund governance. This session will provide a summary overview of the company secretarial role in the Irish regulated investment funds space, focusing on: co-ordination of the board meeting process; ongoing interaction of the company secretary with appointed service providers and the role of the company secretary with regard to the provision of scheduled updates of various ongoing compliance and filing requirements to the board.
