CGIUKI Board

Governance of The Chartered Governance Institute UK & Ireland is managed by the CGIUKI Board and its sub-committees.

The CGIUKI Board manages the affairs of the Institute and controls all assets, liabilities, income and expenditure of the Institute in or related to the UK, Republic of Ireland, Associated Territories, Channel Islands and the Isle of Man. The Committee is composed of:

Any CGIUKI member on the Council elected to Honorary Office (of the Institute as opposed to the CGIUKI Division) by the Council;

The two most recent Past Presidents of the CGIUKI Board if they are willing and able to serve;

Those members elected to the CGIUKI Board by the members in CGIUKI such number to be determined by the CGIUKI Board from time to time having due regard to the effectiveness and operating costs of the Board.

The CGIUKI Board is a committee of the Council of the global Institute.

Charles Brown FCG

Charles is President of the CGIUKI Board and is also a member of the Institute’s Global Council. Company Secretary for Experian plc in Dublin, he covers corporate governance, statutory and listing rules compliance and reporting, board support, shareholder services and sustainability.
Ruairí Cosgrove
Vice President

Ruairí Cosgrove FCG

Ruairí was elected to the CGIUKI Board in 2018. A former President of the Institute’s Ireland Region and current Council member, he is Director of PwC Dublin's Entity Governance and Compliance Department.
Victoria Penrice
Immediate Past President

Victoria Penrice FCG

Victoria is Immediate Past President of the CGIUKI Division. A Chartered governance professional with over 30 years’ experience as Company Secretary and governance professional in UK and internationally listed companies. Victoria has experience in a wide range of sectors and is skilled in corporate governance, project delivery and board leadership.
Anthony Corriette

Anthony Corriette FCG

Anthony Corriette is Company Secretary of BBC Studios: the commercial production and distribution arm of the British Broadcasting Corporation. He is responsible for ensuring a clear and consistent corporate governance framework for the BBC Studios business. Anthony heads a team which provides a broad spectrum of company administration and meeting management services. Additionally, he provides director training and advice to the business on a range of matters, working with colleagues from across the BBC group. Prior to joining the BBC in 2010, Anthony held a number of company secretarial and governance roles at Thomas Cook Group plc, Schroders plc, Capita Group plc and the Chartered Institute of Management Accountants.
Silvana Glibota Vigo (1)

Silvana Glibota-Vigo FCG

Silvana joined the Board of The Chartered Governance Institute UK & Ireland in August 2023, having been a co-opted member since March 2022. She joined Keller Group as Group Head of Secretariat in October 2020. She has been working in corporate governance since 2004 and for UK premium listed companies, including FirstGroup, British Land, International Distributions Services (formerly Royal Mail) and Prudential, since 2006. Silvana is a member of the Institute’s Thought Leadership Committee, a member of the Governance Officer Apprenticeship Trailblazer Group, a practitioner member of the European Corporate Governance Institute and a member of the Association of Corporate Secretaries of Latin America.
Marie Larkin

Marie Larkin FCG

Marie was elected to the CGIUKI Board in January 2020 and is based in London. A Governance Professional for the Bank of America since 2014, supporting regulated and non-regulated entities in the EMEA region, she is a qualified solicitor with over 20 years’ governance experience in the financial services sector as a lawyer and Chartered governance professional.
Lisa Sunner

Lisa Sunner FCG

Lisa joined the CGIUKI Board in January 2019, serves on the Investment, Remuneration and Nominations Committees, and is a Trustee of the Institute’s pension and assurance scheme. She was Group Company Secretary at Railpen Ltd, which provides inhouse pension and investment services for the railways pension schemes. She specialises in governance and compliance.
Soodesh Jowaheer

Soodesh Jowaheer

Soodesh, an experienced GRC professional and a former member of the CGI’s Professional Standards Committee, was elected to the CGIUKI Board in July 2023. Passionate and committed to elevating governance standards through thought leadership, advocacy for increased transparency, accountability, and integrity. Skilled in regulatory supervision, compliance and ethics, with a mission to promote responsible business conduct.
Bernadette Young

Bernadette Young FCG

Bernadette has been a Chartered Governance Professional since 1994. The first years of her career were spent in in-house roles with BAe Systems, Britvic, RSA and Royal London Asset Management. She now supports the company secretarial and governance needs of various companies through the specialist consultancy firm she co-founded, Indigo: Independent Governance.
Justine Lutterodt New (1)

Justine Lutterodt

Justine Lutterodt is Founder and Managing Director of the Centre for Synchronous Leadership (CSL) – a think tank, consultancy and membership organisation. She is recognised as an authority on leadership, ethics and systemic change and author of the 2021 and 2022 Mindful Exclusion governance reports. As a C-suite and board-level coach, she has helped to sync up the interests of individual leaders with their teams, organisations and the greater needs of society for over a decade. Outside of CSL, Justine serves on the Nominations Committee for the Chartered Institute of Taxation and is Patron of Bright Stars – a charity supporting young people with autism.

Audit & Risk Committee

The Audit & Risk Committee is responsible for monitoring the integrity of the financial statements of the CGIUKI division and its subsidiary companies keeping under review the effectiveness of the Group's internal controls and risk management systems; oversight of the internal audit function; and overseeing the selection processes for the engagement of external and internal auditors when required. The Committee is composed of a minimum of four members. These might include Fellows, Associates and Affiliated members of the Institute and non-members. At least one member of the Committee shall have recent, relevant financial experience.

Education and Learning Committee

The Education and Learning Committee is responsible for advising the CGIUKI Board on all aspects of all qualifications within CGIUKI, including all those leading to membership of the Institute. It will also monitor the delivery of the learning and development programme and will provide assurance to the Board regarding the implementation of the programme and its alignment with CGIUKI’s strategy. An Assessment Review Panel monitors the quality and standard of CGIUKI examinations.

Membership Committee

The Membership Committee is responsible for assessing and recommending to the CGIUKI Board candidates to be admitted to membership or upgraded to Fellowship within CGIUKI. It also makes recommendations to the Board on the systems and procedures established to implement admissions policy, provides guidance on member benefits and monitors the Continuing Professional Development and Public Practice Scheme. The Committee is composed by a minimum of three members. These might include Fellows. Associates and Affiliated members of the Institute and non-members.

Nominations and Remuneration Committee

The Nomination and Remuneration Committee is responsible for ensuring the composition of the CGIUKI Board (the Board), is fit for purpose, for the nomination of CGIUKI President and Vice-Presidents and to make recommendations to the Board on changes to its structure, size and composition and the membership of its standing committees and its subsidiary companies. It is also responsible for ensuring the process to appoint the Chief Executive is fair, open and transparent and for approving its annual remuneration package; and with the Chief Executive’s advice, review the remuneration arrangements of the Senior Management Team (Executive Team) and succession planning.

Investment Committee

The Investment Committee oversees all matters concerning the investment of funds on behalf of the CGIUKI Board (the Board), such as recommending the investment strategy and having oversight of its implementation including setting investment return requirements and the monitoring of investment performance. The Committee is composed by a minimum of four members including three members of the Board one of whom shall be the Chair of the Audit & Risk Committee, and at least one other member with recent and relevant investment experience. Members of the Committee might include Fellows, Associate, Affiliated members of the Institute and non-members.
