This Directors and their duties training course is relevant to executive and non-executive directors of listed and private companies.

Learning outcomes

By the end of this course, participants will be able to:

  1. Understand the key duties, roles and responsibilities of directors.
  2. Explain the legal issues, liabilities, sanctions and indemnities applicable to directors.
  3. Describe how to manage the relationship between the company and its shareholders and stakeholders.
  4. Understand what good boardroom practice and board relationships look like, including managing conflicts.
  5. Explore approaches to continuous improvement in board performance, including inductions and performance reviews.

Lyn Colloff

Lyn is Company Secretary and Head of the Governance, Risk and Compliance Team at Wincanton plc, a FTSE 250 company listed on the London Stock Exchange. Wincanton is a leading supply chain partner for British business. Lyn has run her own consultancy company in the past and also worked for Cobham plc for 10 years until 31 May 2019. She joined Cobham in 2009 as Deputy Company Secretary and was subsequently appointed Company Secretary in March 2011. She has extensive experience in the provision of a full company secretary service to the Board including advising on all corporate governance matters. She was also a member of the Group Executive, the Senior Management Team at Cobham as she is at Wincanton. Lyn is a qualified Chartered Secretary with over 35 years’ experience and worked exclusively in the financial services sector before joining Cobham from the Financial Services Authority (now the Financial Conduct Authority), where she also performed the role of Deputy Company Secretary. Lyn sits on the Company Secretary’s Forum of the ICSA, the Governance Institute. Together, the Institute and the Forum combine to create outputs, such as consultation responses, combining thought leadership with practical insights. She was also a member of the Corporate Governance Committee of the Institute of Chartered Accountants of England and Wales until 2018. Lyn completed an MBA at Aston University in 2004.
