Overview

Join LawDeb corporate secretarial experts Nicky Lambourne and Paul Tenconi for our popular session asking the key question regarding the Failure to Prevent Fraud offences: what do we do now?

You will be presented and asked to resolve a hypothetical and evolving situation of a company undergoing a severe Failure to Prevent Fraud offence, covering reasonable procedures defence under the Economic Crime and Corporate Transparency Act and directors' duties under the Companies Act.

This extended session will dive deeper into your responsibilities as a company secretary, giving you more chances to test your skills live while learning from others in a safe, hypothetical context.

Nicola Lambourne

Nicola is a Chartered Company Secretary with nearly 20 years of board-level experience spanning fully listed companies and investment trusts. She is Group Company Secretary for the Law Debenture Corporation and also leads Law Debenture's Governance Advisory team of more than 8 company secretaries. She begun her career in professional services, gaining comprehensive exposure to diverse listed entities including investment trusts and operating companies. Throughout this progression, she delivered the complete spectrum of company secretarial services—from board advisory and annual report preparation to AGM support and statutory compliance.

Paul Tenconi

Paul Tenconi is a Chartered Secretary with 18 years of governance support and company secretarial experience across a broad range of sectors. His experience includes roles with a leading Lloyd’s insurance market managing agent, an Alternative Investment Fund Manager, a local authority, a national charity, and most recently as Company Secretary of a not-for-profit housing company. In his current role, Paul is responsible for the delivery of outsourced company secretarial services for a challenger bank and also supports listed company clients on a range of governance matters. This includes drafting Annual Reports, providing briefings on key governance and regulatory issues, and assisting with regulatory announcements. Paul holds a BA (Hons) in Politics from the University of Nottingham and an MA (Grad ICSA) in Corporate Governance from Anglia Ruskin University. He is currently undertaking a part-time Bachelor of Laws (Honours) degree through The Open University.
